Terms & Conditions

Effective January 2009, applicable to all purchases and in force until further notice.

Due to the volatile materials and metals marketplace, terms, conditions, prices, subcomponent availability and specifications are subject to change without notice. Always consult factory for most current information. Specifications such as weight are for reference only and may vary from material to material.

FULL GRAIN LEATHER: Top of the hide that has not received substantial mechanical correction; considered stronger, resists cracking and provides longer wearing leather. Has natural grain. Considered the best part of the hide.

SPLIT/PIN GRAIN LEATHER: Under portion of the animals’ hide. This is usually split in two or more thicknesses. Considered genuine leather.

BONDED LEATHER: Composed of 100% leather fibers and binder(s) which are bonded together. The result is the look, feel and smell of genuine leather at a reduced price.

PRICING: All catalog items unless otherwise stated are priced with a discount code of “A” for any quantity listed and are subject to change without notice. We are not responsible for typographical errors and other errata. We will try our best to please you; however, your understanding in this matter is appreciated. Please enquire before quoting.

COUNTRY OF ORIGIN: We are proudly an American manufacturer. Where our items are depicted with an American flag, these are cut, assembled and printed in our Florida facility by our handcrafters. Materials may be foreign. As a rule of thumb, our standard full grain materials are made in the USA. Bonded leather, vinyl, fashion and exotic leathers, metal, plastic and rubber components and accessories are almost guaranteed to be made overseas. We also carry the highest quality imported fl at articles (wallets, portfolios, luggage tags, etc.) and leather bags from our Chinese and Colombian factories respectively.

UNION MANUFACTURE: We STRONGLY believe in the integrity of Made in the USA and Union Made labels. We believe that in most cases we provide the most cost effective products in the world because we can modify designs on the fl y, accommodate special materials requests, and provide 15 days lead time on most catalog quantities versus 90 to 120 days from Asia. We produce STUNNING print or embroidery on just about any article no matter how complex it is because we can print the material before we assemble it. Support US labor and humane working conditions. Remember, the minimum wage in some Chinese provinces was only $36/month in 2006. Our minimum wage is 30 times that rate. Buy American, buy Union.

We are a UFCW Local 1625 shop and are licensed to supply our USA made product with a union label or “bug.” Typically, we will include the union bug in the imprint die or the embroidery. Where a sew-in label is required or a second position bug is required, there will be a run charge of $0.625 (G) or $0.30 (G) respectively. Where any union bug is requested, please indicate this clearly in your purchase order and understand that where a major component such as a vacuum travel bottle or watch is combined with our cut, sewn and printed leather or vinyl wrap, fob, etc., we will indicate the major component’s country of origin on the Sales Order Acknowledgement. You will be required to do the same on your purchase order. Together, we can all protect the integrity of our Leather base.

WOMAN AND MINORITY OWNED BUSINESS: We have been a woman and minority owned business since May 1, 2007.

P.M.S. COLOR MATCHES: Available $1.00 (G) per article where applicable. PMS Mix Charge is $100(G). We can not waive minimum order quantity requirement.

ARTWORK: Please supply black and white camera ready art suitable for imprinting. We are happy to help with reductions and enlargements at $15.00(G) or any other artwork modifications such as color flattening or font changes for $65.00(G) an hour. There is a minimum 30 minute charge on any modifications.

ARTWORK TRANSMISSION: Save time by reaching us at artwork@winstonleather.com. We can process artwork in CorelDraw, and Adobe Photoshop CS, or EPS. Artwork must be black & white, 600 DPI, no gray scale, shades or color. We operate in a PC environment. We are more than happy to recreate your artwork in electronic format. Please consult factory for pricing. Kindly put your company name and purchase order number in the subject field and include any special instructions in the body.

METHOD OF IMPRINT:
D/Emboss: All prices shown include a single impression. For color fill, second color, or location, add $0.50(G) each.
Hot Stamp: Hot foil stamping is available in many colors and foils. The first position is $0.30(G) for most foils. For each additional position, add $0.50(G). Up to 3 colors may be printed.  On special order foils that are not in inventory, a minimum run charge for the foil of $100(G) shall apply.
Colorfill-Deboss: Add $0.50(G) to prices shown.
Embroidery: Add $1.25(G) per 1000 stitch count with a 4000 minimum stitch count per piece. Minimum run charges apply. Please consult factory and ask us for a quote.

IMPRINT DIE/TAPE CHARGES:
Hot Stamp, D/Emboss Dies: $75 (G) for each different impression or color (including a second die for colorfill) is required for all orders. Oversize dies larger than 4”x5” are $125 (G)
Embroidery: Tape charge is $40 (G) per 1000 stitch count. Editing and changing existing artwork is available at $65(G)/hour. A re-setup charge may apply for repeat jobs. Tapes created for garments are not compatible with leather and must be recreated.

PERSONALIZATION: Debossed or hot stamped individual names or initials $10.00 (G) for names or $7.00 (G) for 2 or 3 letter initials. At present we offer two font styles in all capital letters.

PROOFS:
Email/Paper Proof: It is strongly recommended that you purchase a paper proof $12.50(G) or email proof $10.00(G). Regretfully, we cannot be held liable for customer supplied artwork errors, cases where customer has not ordered a proof, or where Winston produced product according to the approved proof.
Swatch Proof: Hot stamped, d/embossed $20.00(G) plus die charge where applicable.
Colorfi ll-Deboss: $30.00(G) per imprint plus applicable die charges. In some cases, there may be a charge for non standard materials.
Embroidered: $40.00(G) plus cost of tape if applicable.
Product Proof: Hot stamped, D/Embossed, Colorfilled-Deboss: $30.00(G) for coasters, key fobs, bookmarks, and luggage tags plus cost of item at first column pricing and any applicable die/artwork charges. $70.00(G) plus cost item at first column pricing and any applicable die/artwork charges.
Embroidered: $45.00(G) and item at first column pricing and any applicable tape charges.

HAND SAMPLES: Our design capabilities are the best in the industry and proudly Made in the USA. We have more than 100 years of design experience with curriculum vitae entries including Coach, Inc. and design with the most expensive exotic leathers available. Hand sample pricing begins at $62.50 (G) for keyfobs, coasters, luggage tags and bookmarks, $125.00(G) for portfolios and binders to $625.00 (G) for purses, and luggage items. Give us a call for your custom design.

REPEAT ORDERS: A re-setup charge of $15.00(G) on orders received within three years of original order. After that date, new dies may be required. We have also dramatically improved the quality of our dies. Thus, dies older than four years may not be adequate. If we can help you out by locating a die older than three years in our archive, we are glad to pass the savings on to you. Please remember, though, any changes in artwork or imprint copy from previous order requires a new die and charges will apply.

LESS THAN MINIMUM: Unless otherwise specified, add $65.00 (G) to first column pricing.

PRODUCT TIME: Standard production on all catalog leather and vinyl items is 20 business days after proof and credit approval. Please add 35% for expedited orders.

NON-IMPRINTED ITEMS: 10 working days from receipt of order.

RUSH ORDERS: 3 Day service is generally available from the time artwork and credit is approved. Please add 100% for rush orders.

GUARANTEE: We care about the quality of our products and our customer’s satisfaction. Our products are covered by a limited one-year warranty from the date of shipment. All warranty claims must be made within 1 year of delivery. This guarantee covers defects in material and/or workmanship only. It does not cover damage due to accidents, normal wear and tear or abuse.

A returned materials authorization (RMA) number must be obtained. We will evaluate and approve or reject the claim within 48 hours of receipt of a sample of article under question. Merchandise must be kept secure pending inspection or return approval. We reserve the right to rework or replace defective merchandise. We reserve the right to reject any inbound shipment that does not have a valid RMA number prominently displayed on box.

This limited warranty recognizes specific legal rights that vary from state to state.

CUSTOM ORDERS: More than 50% of our business is for custom product. We are simply the best in the USA for making custom products. Please fax or email your custom quoted request.

C.O.D./SPLIT SHIPMENT/DROP SHIPMENT: There is an additional charge of $10.00(G) for C.O.D. Shipments to more than one destination. There is a charge of $10.00(G) for each location after the first.

SHIPPING AND HANDLING CHARGES: We include and charge insurance with all UPS and Federal Express shipments. The handling charge per carton is $4.00 for truck and ground service, $7.00 for 2 day, and $10.00 for 1 day whether 3rd party billed or not. Winston Leather will not be responsible for product loss once product leaves the plant. All claims must be made with the carrier. Please inspect articles upon receipt and make claims accordingly.

ORDER CHANGES: We are pleased to accommodate changes in requirements. If the customer requires a change, there will be a $12.50(G) charge to re-acknowledge the order. The factory will not be responsible for changes to original purchase order unless confirmed in writing. Winston will not accept nor be responsible for verbal changes.

COMBINED QUANTITIES: Applies to all stock items with the same imprint. Minimum quantities for each items must be met, and all items must appear on the same purchase order for shipment on the same date to same location.

ACKNOWLEDGEMENT OF ORDERS: All orders are considered firm and cannot be cancelled except upon written authorization from the factory. Where a preproduction/product proof approval is required, a “best faith effort” to resolve design/materials discrepancies is required. A PO cannot be cancelled. If the order is in production, costs will be billed on the basis of amount of work completed.

RETURNS: Other than for warranty related issues, imprinted or custom merchandise cannot be returned. Any product complaints or returns must be accompanied by an RMA number. Outgoing and incoming freight as well as a restocking charge are the responsibility of the customer.

FOREIGN SHIPMENTS: Paperwork preparation charge $25.00 (X).

TRUCK SHIPMENTS: All truck shipments will be shipped “freight charges collect”. For specified prepaid shipments add $16.00 (X) to cover additional paperwork.

FOB POINT: Hialeah, Florida

PAYMENT TERMS: Net 30 days with credit approval. Visa/Mastercard/American Express is available.

LEATHER AND MATERIALS: Leather has always been a symbol of quality, dignity, and refined style. Since the leather is nature’s product, each hide has different grains, and characteristics. These blemishes and slight irregularities are what give leather its beauty and distinguish it from man-made materials. Therefore, leather may vary in shade, feel and thickness from item to item and Winston cannot be responsible for these variations.

OVER/UNDER RUNS: We reserve the right to under or over ship up to 5% and bill accordingly. A 10% surcharge may be applied for exact quantities.

MARKETPLACE: Prices in this catalog supersede any prices from previous catalogs and website archives and are subject to change without notice. All orders subject to availability of materials. We shall not be responsible for inability to ship any order due to material shortages or matters beyond our control. Specifications and product form may change without notice. Items pictured in catalog may not be exactly as they are received by the customer.

JURISTICTION: These terms and conditions as well as all transactions shall be governed and constituted in accordance with the laws of the State of Florida without giving effect to the principles of laws, and shall be enforced only in the Federal and State courts located in Broward County in the State of Florida.  The relevant parties hereto consent to the exclusive personal juristiction of the Federal and State courts located in Broward County in the State of Florida.

In the event that any aspects of these terms and conditions are deemed uneforceable, the balance of the terms and conditions shall be enforceable.

Trademarks and logos shown in the catalog are used to demonstrate imprinting techniques and locations only and do not constitute endorsement. The Customer represents that use of copy/artwork provided does not violate client restrictions nor contractual agreements and is in compliance with all applicable laws. The customer agrees to defend and hold Winston Leather harmless and free of all claims.

Winston Leather cannot be held liable for consequential damages due to the myriad of factors beyond our control which may result in a late shipment. Your doing business with us constitutes your agreement to these terms and conditions.
